Terms and Conditions
These Terms & Conditions (“Terms”) govern your use of our online marketing services (“Services”) offered through our website (www.thenarrativeengine.com). By accessing or using our Services, you agree to be bound by these Terms.
Definitions:
“You" or "Client": Refers to the individual or entity engaging with The Narrative Engine to provide marketing services.
"We" or "Us" or "The Narrative Engine”: Refers to The Narrative Engine, a marketing consultancy providing the Services.
"Services": Refers to the marketing services offered by The Narrative Engine per clause [1]
"Confidential Information": Any information disclosed by either party to the other in connection with the Services that is not publicly known.
"Project": A specific marketing initiative undertaken by The Narrative Engine for the Client. These are in reference to two projects: Strategy Consultation and UX/UI Design (both Web Design and Build).
The specific services offered may change from time to time at our discretion. Any changes to the terms and conditions will be communicated in writing, and continued use of these services will indicate acceptance of the new terms.
1. Services
1.1 Strategy Consultation:
We will work with you to develop a strategic marketing plan by understanding your business and produce a solution to reach your intended marketing objectives.
The stages of work include auditing your existing marketing channels, undergoing market analysis, a strategy proposal as well as a presentation to present these findings.
We are not responsible for implementing the plan as this does not form part of our Services.
After the completion of the Project, Ongoing Strategy Consultations will be provided at the Client’s discretion. The Client may initiate consultations as needed, and the frequency of these meetings will be determined by the Client’s specific requirements and preferences.
1.2 Google Ads Management:
We will work with you to develop, manage and optimise your Google Ads campaign as well as provide performance reporting based on the agreed duration of work to ensure their effectiveness.
You agree to provide us access to your Google Ads account, or to create a new account if necessary. This access will be used to manage campaigns which may vary from Search Engine Marketing (SEM), Display Advertising, Discovery, Performance Max and Youtube. You also agree to pay all Google Ads fees directly to Google.
We will not be liable for any losses or damages incurred by you as a result of the Google Ads campaigns. You acknowledge that the effectiveness of these campaigns is subject to factors outside of our control, such as changes to search algorithms, search engine policies and competitor activity.
1.3 UX/UI Design (Web Design only):
We will work with you to produce the new look and feel of your website through UX/UI Design.
The stages of work includes research, ideation, design as well as user testing.
1.4 UX/UI Design (Web Design and Build):
We will work with you to produce the new look and feel of your website through UX/UI Design as well as build your website through the preferred platform of choice.
The Client will grant Us full and unrestricted access to the Client’s website, including but not limited to; administrative access, content management system access, and any other relevant systems necessary to perform the Services as outlined in this Agreement. You will provide Us with all necessary login credentials and information to access the website.
2. Payment Terms
2.1 Payment terms:
This is 15 days as specified in the proposal or agreement.
Please note that all services offered are exclusive of GST.
2.2 Invoices:
This is issued as soon as the quote is approved by the Client for project-based work such as Strategy Consultation or UX/UI Design as these are one-off.
Invoices for Ongoing Strategy Consultations are issued weekly which details the number of consultations provided.
Invoices for Google Ads are issued bi-weekly on a Sunday which details work that is already completed as agreed by both parties.
2.3 Late payments:
If the Client fails to make a payment by the due date, this will be subject to a one-off fee of $15 for the current duration of the invoice.
There will be no interest charged on overdue amounts. We will offer a maximum grace period of one week to allow the Client to make this payment before assessing next steps that are viable for both parties.
2.4 Pricing structure:
We reserve the right to modify our pricing structure at any time. Clients will be notified with at least thirty (30) days written notice prior to any price increase taking effect. Upon receipt of such notice, the Client may terminate the Agreement within a 7 day notice for Google Ads management.
The new pricing will apply to new Projects commencing after the effective date of the price increase and will not apply to existing Projects.
In the event of unforeseen circumstances, The Narrative Engine may extend the duration of the Project due the following reasons but are not limited to; current workload, personal circumstances, travel or health-related issues.
In the event that this occurs, the Client will not be required to make any additional payments in relation to the Project.
3. Changes in duration of work
We will maintain the confidentiality of all information the Client provides to us until the Service is terminated by the Client.
Once the Service is terminated by the Client, our administrative access regarding the Client’s Google Ads account will be revoked.
For the UX/UI Design Project per clause [1.4] - we will treat Client data as confidential and will not disclose, use, or copy Client data for any purpose other than fulfilling the obligations under this Agreement.

These Terms will remain in effect until terminated by the Client.
5.1 Google Ads:
You may terminate these Terms at any time by providing us with written notice 7 days in advance to account for any offboarding activities that need to be completed.
Any fees paid for Google Ads services rendered prior to the termination date will not be refunded. However, you can lodge a request to Google Ads in regards to ad credit here and we can support you to the best of our ability. Please note: this does not guarantee reimbursement.
During the term of this agreement and for a period of 30 days following its termination, The Narrative Engine agrees not to provide Google Ads services to any of the Client's direct competitors. This non-compete clause does not extend to our other services, which are tailored to each client's specific needs.
5.2 Projects:
If you wish to terminate these terms after the intended start date and prior to completion for the Strategy Consultation or UX/UI Design Project - this is subject to a 50% cancellation fee of the project cost.
The remaining balance will then be refunded to you. The start date is facilitated the week after the Client agrees to move forward with the Project.
In the event the Client terminates the Agreement prior to completion of the Project, all work completed up to the point of termination will be deleted.
We own all intellectual property rights associated with our Services, including our website, logos, trademarks, working files and proprietary information.
We own the legal copyright of our own working files. Working files are our intellectual property and these include but are not limited to; strategy consultation documents, presentations, design concepts, Google Ads performance dashboards and design elements.
6 . Intellectual Property
We retain the right to showcase your business logo, Project or success stories on our website and/or LinkedIn page for the sole purpose of promoting our work.
These may include and are not limited to; case studies, client testimonials and performance data that visually showcase changes in the relevant business metrics.
We will obtain prior oral or written consent from you before publishing this on the website as well as LinkedIn.
7. Portfolio Rights
You will retain access to these working files for the selected Service during the course of the working relationship and after the termination of the working relationship.
This is available for Google Ads management and only applicable for Projects which resulted with no early termination.
8. Working Files
We respect your privacy and are committed to protecting your personal information. We collect and use personal information only as necessary to provide our digital marketing services. This may include information such as your name, email address, phone number and business information.
Upon completion or termination for this Agreement under the UX/UI Design Project as per clause [1.4], we will remove and delete our access from the Client’s website platform.
Upon completion of the Strategy Consultation or UX/UI Design Project or the termination of our Google Ads management service, you reserve the right to request the deletion of your working files. For more information, please visit our Privacy Policy.
9. Data Privacy and Protection
If any provision of the contract is found to be invalid or unenforceable, the remaining provisions in the Agreement will remain in effect.
10. Severability
Neither party shall be liable in any failure or delay in performance in the event of circumstances beyond the control of either party, such as natural disasters or other unforeseen events.
The time for performance of this Agreement shall be extended for a period equal to the time lost due to the Force Majeure event.
11. Force Majeure
Our services are designed to help you achieve your marketing goals legally, ethically and for lawful purposes only. You agree to indemnify and hold us harmless from any claims resulting from your use of our Services that damages you or any other party.
12. Indemnification
Our total liability to you under this agreement, whether due to this contract or otherwise, will not exceed the total price you paid for our services. This means we won’t be held liable for any lost profits, business, revenue, goodwill, or anticipated savings, or for any other indirect or consequential losses.
